Terms of Service & Financial Disclaimer

Last updated: July 2026 (version v2-2026-07)

FrostDeck is an informational tool, not a financial advisor. Nothing in this product is investment, tax, or legal advice. All investing involves risk, and trading on margin can amplify losses beyond your original investment. You are solely responsible for your own financial decisions. Please read the full disclaimer in Section 4.

1. Acceptance of These Terms

These Terms of Service (the "Terms") form a binding agreement between you and FrostDeck ("FrostDeck," "we," "us," or "our") governing your access to and use of frostdeck.com and any related applications, features, and services (collectively, the "Service"). By creating an account, checking the acceptance box at registration, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2. What FrostDeck Is

FrostDeck is a portfolio analytics and dividend-tracking tool. It aggregates account data you enter manually or connect through third-party providers, and it displays analytics such as holdings, dividend history, projections, profit-and-loss figures, margin and loan-to-value calculations, options tracking, and tax-classification labels. These outputs are informational aids only. They are estimates and summaries generated from the data available to us, and they may be incomplete, delayed, or inaccurate.

3. Eligibility and Your Account

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • You are responsible for the accuracy of the information you enter and for all activity that occurs under your account.
  • You are responsible for keeping your password and any two-factor or passkey credentials secure. Notify us promptly of any unauthorized use.
  • You agree not to misuse the Service, including by attempting to breach its security, disrupt it, scrape it at scale, or use it in violation of applicable law.

4. Financial Disclaimer (Please Read Carefully)

Not Financial, Investment, Tax, or Legal Advice

FrostDeck is not a registered investment adviser, broker-dealer, tax adviser, or financial planner, and it does not provide personalized financial, investment, tax, accounting, or legal advice. Nothing displayed by the Service - including projections, dividend estimates, margin and loan-to-value figures, tax classifications (such as Section 1256 or return-of-capital labels), goal progress, options analytics, or any chart, number, or suggestion - constitutes a recommendation to buy, sell, or hold any security, to adopt any strategy, or to use margin or leverage. You should consult a qualified, licensed professional before making any financial decision.

All Investing Involves Risk

The value of investments can go down as well as up, and you may lose some or all of your capital. Dividends are not guaranteed and may be reduced, suspended, or eliminated by the issuer at any time. Past performance and projected figures are not reliable indicators of future results.

Margin and Leverage Carry Heightened Risk

FrostDeck includes tools for tracking margin balances, interest, and loan-to-value ratios. Buying securities on margin is speculative and can magnify both gains and losses. You can lose more than your initial investment, your broker can issue a margin call or liquidate your positions without prior notice, and interest charges accrue against you. Any margin-related figure shown by FrostDeck is an estimate for your own planning and is not a substitute for the balances, rates, and requirements provided by your actual broker.

Data May Be Inaccurate or Delayed

Market data, quotes, dividend dates, earnings dates, news, and account information are sourced from third parties (including market-data providers, Plaid, SnapTrade, and your brokerages) or entered by you. We do not guarantee that any of it is accurate, complete, current, or free of error, and it should not be relied upon for trade execution or tax reporting. Always verify figures against your brokerage statements and official tax documents before acting on them.

Your Decisions Are Your Own

You are solely responsible for your investment decisions and their outcomes. You agree that FrostDeck is not liable for any trading or investment losses, tax consequences, or other damages arising from your use of, or reliance on, the Service.

5. Third-Party Services and Brokerage Connections

The Service integrates third-party providers such as Plaid, SnapTrade, and your brokerage institutions to import account data, and Stripe to process payments. Your use of those providers is governed by their own terms and privacy policies. We are not responsible for the acts, omissions, availability, or accuracy of any third-party service, and a connection can fail, lag, or return incorrect data for reasons outside our control.

6. Subscriptions and Billing

  • FrostDeck offers free and paid subscription tiers. Paid tiers are billed in advance on a recurring basis through Stripe until cancelled.
  • You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, payments already made are non-refundable.
  • We may change pricing or the features included in a tier on a prospective basis, with notice for material changes.

7. Intellectual Property

The Service, including its software, design, and content (excluding your own data), is owned by FrostDeck and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial portfolio tracking. You retain ownership of the data you enter and grant us the rights needed to store and process it in order to provide the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DATA OR CALCULATION IT PRESENTS IS ACCURATE OR COMPLETE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FROSTDECK AND ITS OWNERS, OPERATORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, INVESTMENTS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS EXCLUSION INCLUDES, WITHOUT LIMITATION, TAX PENALTIES, INTEREST ASSESSED BY ANY TAXING AUTHORITY, ADDITIONAL TAX ASSESSED, THE COST OF PREPARING OR FILING AN AMENDED RETURN, ACCOUNTANT AND TAX-PREPARER FEES, AND AUDIT REPRESENTATION COSTS. IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD 100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9A. Tax Reporting Features (Please Read Carefully)

FrostDeck offers features that produce tax-related figures, including cost basis, realized gains, wash-sale adjustments, return-of-capital basis reductions, and year-end worksheets. The following applies to all of them.

We do not prepare returns. FrostDeck does not prepare, review, sign, or file tax returns, and does not transmit anything to any taxing authority. No preparer, CPA, accountant, or client relationship is created by your use of the Service. Outputs are working documents for your records and for your own tax professional.

Every figure is an estimate. Tax figures are derived from transaction and distribution data that may be incomplete, delayed, or incorrect. Your Form 1099 and your brokerage statements are the authoritative documents, and you are responsible for reconciling against them.

Classifications change. Return-of-capital percentages, Section 1256 characterization, and qualified versus ordinary dividend treatment are issuer determinations that are finalized after year end, typically in February. Figures shown before then are estimates and will change.

Cost basis depends on assumptions. Basis figures depend on the accounting method selected and on complete transaction history. Your broker applies whatever method your account is set to, which may differ from the method FrostDeck applies. Where history is incomplete, figures are incomplete and are marked as such.

Wash sales are only partly visible. Wash-sale identification is limited to exact security matches within accounts visible to FrostDeck. Whether two different securities are "substantially identical" is a judgment FrostDeck does not make. Sales in other brokerages, retirement accounts, or a spouse's accounts are not visible to us and remain your responsibility.

Not covered at all. Foreign withholding and foreign tax credits, partnership K-1s including MLPs, PFICs, state and local tax treatment, retirement-account transactions, and gift or inherited basis rules are outside the scope of these features.

You are responsible for reviewing all outputs with a qualified tax professional before relying on them for any purpose. The published methodology at /tax/methodology describes exactly what the calculations do and do not do.

10. Indemnification

You agree to indemnify and hold harmless FrostDeck and its owners and operators from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.

11. Termination

You may stop using the Service and request account deletion at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination - including the Financial Disclaimer, Disclaimer of Warranties, Limitation of Liability, and Indemnification - will survive.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in the State of California have exclusive jurisdiction over any dispute arising from these Terms or the Service, subject to any mandatory consumer-protection rights available to you in your place of residence.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the version and "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. We record the version you accepted at registration.
